1. Agreement to These Terms

These Terms of Use ("Terms") are a binding agreement between you and Integrated Building Solution Systems USA LLC ("IBSS," "we," "us," or "our") governing your access to and use of https://www.ibssusa.com and any related pages, forms, tools, and content we operate (collectively, the "Site").

By accessing or using the Site, submitting a form, uploading a file, or otherwise interacting with us through the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you are using the Site on behalf of a company, partnership, or other organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

Please read Section 17 carefully. It contains an arbitration agreement and a class action waiver that affect how disputes between us are resolved.

2. Eligibility

The Site is intended for a business audience and for individuals who are at least 18 years old. By using the Site, you represent that you are at least 18 and that you are not barred from using the Site under applicable law.

3. Changes to These Terms and to the Site

We may revise these Terms at any time. When we do, we will update the "Last Updated" date above. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

We may also modify, suspend, or discontinue any part of the Site at any time, with or without notice, and we are not liable to you for doing so.

4. The Site Is Informational, Not an Offer

The Site describes IBSS products, systems, capabilities, and services. Nothing on the Site is an offer to sell, a binding quotation, a warranty, or a commitment to perform work.

Any actual sale, fabrication, delivery, or construction relationship is governed exclusively by a separate written agreement signed by an authorized representative of IBSS. If anything on the Site conflicts with a signed agreement between you and IBSS, the signed agreement controls.

5. No Professional Advice

Content on the Site, including descriptions of light gauge steel systems, panelization, structural approaches, model plans, timelines, and performance characteristics, is provided for general informational purposes only.

It is not engineering, architectural, structural, code compliance, permitting, surveying, legal, financial, or insurance advice, and it must not be relied on as a substitute for advice from a licensed professional in your jurisdiction.

Building codes, wind and seismic requirements, soil conditions, permitting rules, and inspection standards vary by state, county, and municipality. You are responsible for engaging licensed design professionals and confirming that any approach described on the Site is appropriate and permitted for your specific site, project, and jurisdiction. No content on the Site is sealed or stamped by a licensed engineer or architect unless it expressly says so.

6. Models, Renders, Estimates, and Forward Looking Statements

Renderings and visuals. Images labeled as concept renders, and any image not expressly identified as a photograph of a completed IBSS project, are illustrative. They may depict design intent, finishes, landscaping, furnishings, or site conditions that are not included in any IBSS scope of work and that may differ from what is actually delivered.

Model plans. Floor plans, elevations, dimensions, square footages, and unit configurations shown on the Site are approximate and subject to change without notice. They are not construction documents.

Performance statements. Statements about speed, waste reduction, durability, strength, efficiency, or cost are general and directional. They describe typical characteristics of the systems we work with, not guaranteed outcomes for your project. Actual results depend on design, site conditions, crew, schedule, weather, jurisdiction, and factors outside our control.

Estimates and lead times. Any estimate, budget range, lead time, or feasibility output provided through the Site, including through a feasibility review or similar request, is preliminary, is based solely on the information you supply, and is not a quotation or a commitment. Pricing and availability are subject to change and subject to confirmation in a signed agreement.

Development stage. Certain products, capabilities, facilities, and offerings described on the Site may be in development. Where we identify something as in development, planned, or forthcoming, it may change materially or may not become available.

7. Your Submissions

7.1 What you may submit

The Site allows you to submit information and files, including plan sets, drawings, specifications, site data, project details, and messages ("Submissions").

7.2 Your representations

By making a Submission, you represent and warrant that:

  • You own the Submission or have all rights and licenses necessary to provide it to us and to permit our use as described here.
  • The Submission does not infringe any copyright, trademark, trade secret, contract right, or other right of any third party.
  • The Submission does not contain malware, viruses, or harmful code.
  • The Submission does not contain sensitive personal information, protected health information, government identification numbers, or payment card data.

Architectural and engineering drawings are frequently protected by copyright and by license restrictions imposed by the design professional who prepared them. You are responsible for confirming you have the right to share them with us before you upload.

7.3 License to us

You retain ownership of your Submissions. You grant IBSS a non-exclusive, worldwide, royalty free license to use, copy, store, transmit, display, and create derivative works from your Submissions solely for the purposes of evaluating your inquiry, preparing a response, estimate, layout, or proposal, and performing services you engage us to perform.

7.4 Confidentiality

We treat project Submissions as confidential and share them only as described in our Privacy Policy, including with the engineers, fabricators, and other project participants necessary to respond to your inquiry. We do not, however, guarantee confidentiality for material you post to public areas of the Site or transmit through unsecured channels. If your project requires formal confidentiality protection, ask us for a mutual non-disclosure agreement before sending anything sensitive.

7.5 Feedback

If you send us suggestions, ideas, or feedback about the Site or our products, you grant us an unrestricted, perpetual, irrevocable right to use it for any purpose without compensation or attribution.

8. Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Submit false, misleading, or fraudulent information, or impersonate any person or entity
  • Access or attempt to access accounts, systems, or data you are not authorized to access
  • Probe, scan, or test the vulnerability of the Site, or breach or circumvent security or authentication measures
  • Introduce viruses, malware, or other harmful code
  • Use bots, scrapers, crawlers, or automated means to access, harvest, or copy content or contact information from the Site, except for legitimate search engine indexing
  • Copy, reproduce, republish, frame, mirror, or redistribute Site content except as permitted in Section 9
  • Interfere with or disrupt the Site, its servers, or its networks, including through excessive request volume
  • Use the Site or its content to build, train, or improve any machine learning or artificial intelligence model without our prior written consent
  • Use Site content or contact details to send unsolicited commercial communications
  • Reverse engineer, decompile, or disassemble any part of the Site

We may investigate suspected violations and may involve law enforcement where appropriate.

9. Intellectual Property

The Site and its contents, including text, copy, graphics, photographs, renderings, model plans, logos, layouts, system designs, videos, and software, are owned by IBSS or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws.

"IBSS" and the IBSS logo, along with our product names, model names, and taglines, are trademarks or service marks of IBSS. You may not use them without our prior written permission. Third party marks appearing on the Site belong to their respective owners.

Limited license. We grant you a limited, revocable, non-exclusive, non-transferable license to access the Site and to view, download, and print content for your own internal, non-commercial evaluation of IBSS products and services. You may not modify, sell, license, or publicly distribute Site content, and you may not remove any copyright or proprietary notice. This license terminates automatically if you breach these Terms.

10. Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, send a written notice to our designated agent containing: your physical or electronic signature; identification of the copyrighted work claimed to be infringed; identification of the material claimed to be infringing and its location on the Site; your contact information; a statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law; and a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the owner.

We will respond to valid notices in accordance with the Digital Millennium Copyright Act and may remove or disable access to the material. We may terminate access for repeat infringers.

11. Third Party Links and Content

The Site may link to or embed third party websites, tools, and services, including mapping, scheduling, video, file transfer, and social media platforms. We do not control and are not responsible for their content, products, policies, or practices. Links are not endorsements. Your dealings with third parties are solely between you and them.

12. Privacy and Electronic Communications

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

By providing your email address or telephone number, you consent to receive electronic communications from us relating to your inquiry and, where you have opted in, marketing communications. You may opt out of marketing communications as described in the Privacy Policy. You agree that electronic communications, agreements, and notices satisfy any legal requirement that such communications be in writing.

13. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

To the fullest extent permitted by law, IBSS disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, secure, error free, or free of viruses, that defects will be corrected, or that content on the Site is accurate, complete, current, or reliable. You use the Site at your own risk.

This Section 13 applies to the Site only. It does not limit or disclaim any warranty expressly provided in a signed agreement between you and IBSS for products or services.

14. Limitation of Liability

To the fullest extent permitted by law, IBSS and its members, managers, officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, project delay, or cost of substitute goods or services, arising out of or relating to your use of the Site, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site will not exceed one hundred dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless IBSS and its members, managers, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: your use of the Site; your Submissions, including any claim that a Submission infringes third party rights; your violation of these Terms; or your violation of any law or the rights of any third party.

16. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 7, 9, 13, 14, 15, 17, and 18 survive termination.

17. Dispute Resolution, Arbitration, and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at contact@ibssusa.com with a written description of the dispute and to attempt in good faith to resolve it informally for at least thirty (30) days.

Binding arbitration. If the dispute is not resolved informally, any dispute arising out of or relating to these Terms or the Site will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will take place in Bay County, Florida, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.

Class action waiver. You and IBSS agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Opt out. You may opt out of this arbitration agreement by sending written notice to contact@ibssusa.com within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

Time limit. Any claim arising out of or relating to the Site must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Subject to Section 17, you agree that any action not subject to arbitration will be brought exclusively in the state or federal courts located in Bay County, Florida, and you consent to the personal jurisdiction of those courts.

19. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and IBSS regarding the Site, and supersede any prior understandings regarding the Site. They do not supersede any signed agreement for products or services.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, hurricanes and severe weather, fire, flood, labor disputes, supply chain disruption, material shortages, war, terrorism, epidemic, or governmental action.

Headings. Section headings are for convenience only and do not affect interpretation.

Export and sanctions. You represent that you are not located in, and are not a national or resident of, any country or on any list subject to United States trade sanctions or export restrictions.

20. Accessibility
